Acceptance of Terms

The services that Home Starter Inc. (or its successors or assigns) ("Home Starter", "we", "our" or "us") provides to you are subject to the following Terms of Use ("TOU"). We reserve the right to update and modify the TOU at any time without notice to you. The most current version of the TOU can be reviewed by clicking on the "Terms of Use" hypertext link located at the bottom of our web pages. When we make updates to the TOU, we will update the date at the top of this page. By using the web pages after a new version of the TOU has been posted, you agree to the terms of such new version. By accessing our web pages and the materials contained herein, you acknowledge that you have read, understand, accept and agree to be bound by the TOU. Use of our software is governed by any written agreements between us and the TOU are intended to supplement such agreements. Any written agreement between us supersedes these TOU in the event of any direct conflicts.

Description of Services

Home Starter provides you with access to a variety of platform tools and features, including download areas and communication means (collectively "Services"). The Services, including any updates, enhancements, new features, and/or the addition of any new web properties, are subject to these TOU.

Use Limitations

You acknowledge and agree that we are the sole and exclusive owner of any improvements to the software platform that are developed in connection with the Services, such as web-based versions of standard forms or other digitized templates and processes that we develop in connection with such Services. We are the sole and exclusive owner of any and all work product developed in connection with the Services, and such work product is not a work made for hire.

You acknowledge and agree that we may collect data relating to your usage of the Services, including but not limited to location data, IP addresses, browser settings, behavioral data while using the Services, network traffic, network speed, time spent on the Services, mouse clicks, mouse movement and latency measures ("Usage Data") and collect, analyze, and use data derived from user content that has been aggregated and/or anonymized such that it does not identify user or any identifiable individual person ("Derivative Data" and, collectively with usage data, "Home Starter Data"). All Home Starter Data will be owned solely and exclusively by us and, for purposes of clarity, you agree that we may use the Home Starter Data in perpetuity for any purpose permitted by applicable law.

You agree not to engage in any of the following prohibited activities:

  1. copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated "scraping";
  2. using any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Services in a manner that sends more request messages to the servers hosting the Services than a human can reasonably produce in the same period of time by using a conventional on-line web browser;
  3. transmitting spam, chain letters, or other unsolicited email;
  4. attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services;
  5. taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure;
  6. uploading invalid data, viruses, worms, or other software agents through the Services;
  7. collecting or harvesting any personally identifiable information, including account names, from the Services;
  8. using the Services for any commercial solicitation purposes;
  9. impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity;
  10. interfering with the proper working of the Services;
  11. accessing any content on the Services through any technology or means other than those provided or authorized by the Services;
  12. bypassing the measures we may use to prevent or restrict access to the Services, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.

The Services may contain e-mail services, notes/bulletin board services, tasks, chat areas, calendars, photo albums, document or file cabinets/storage and/or other message or communication facilities designed to enable you to communicate with others (each a "Communication Service" and collectively "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service and in compliance with laws.

We have no obligation to monitor your use of our Services. However, we reserve the right review your use, and if we believe there is a violation that can be remedied, we will, in most cases, ask you to take direct action rather than intervene. However, to the extent legally permissible, we reserve the right to take further appropriate action, when we deem it reasonably appropriate if you do not take appropriate action, or if we believe there is a credible risk of harm to us, the Services, other users, or any third parties. Such action may include, for example, suspending certain access to the Services or removing user content from the Services. We reserve the right at all times to disclose any information as we deem necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in our sole discretion.

Content

You are solely responsible for the content of any User Content submitted through the Services, including but not limited to User Content submitted by your Authorized Users. You agree not to submit any User Content that:

  1. may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal;
  2. may create a risk of any other loss or damage to any person or property;
  3. seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise;
  4. may constitute or contribute to a crime or tort;
  5. contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, obscene, or otherwise objectionable;
  6. contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party's trade secrets);
  7. contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  8. contains any information or content that you know is not correct and current;
  9. to the extent applicable, violates any school or other applicable policy, including those related to cheating or ethics.

You agree that any User Content does not and will not violate third-party rights of any kind, including without limitation any intellectual property rights or rights of privacy. To the extent legally permissible, we reserve the right, but are not obligated, to reject and/or remove any User Content that we believe, in our sole discretion, violates any of these provisions.

Representations and Warranties

EXCEPT AS EXPRESSLY WARRANTED IN ANY WRITTEN AGREEMENT BETWEEN US, THE SERVICES, THE DOCUMENTATION AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

For your convenience, we may make available as part of the Services, tools and utilities for use and/or download. We do not make any assurances with regard to the accuracy of the results or output that derives from such use of any such tools and utilities. They could include technical inaccuracies or typographical errors.

Limitation of Liability

IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO SERVICES (WHETHER IN CONTRACT OR TORT OR UNDER ANY OTHER THEORY OF LIABILITY) EXCEED THE TOTAL AMOUNT PAID BY USER IN THE TWELVE (12) MONTHS PRECEDING THE LAST EVENT GIVING RISE TO LIABILITY.

IN NO EVENT WILL WE HAVE ANY LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The limitations under this "Limitation of Liability" section apply with respect to all legal theories, whether in contract, tort or otherwise, and to the extent permitted by law.

Member Account, Password, and Security

If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are responsible for all login credentials, including usernames and passwords, for administrator accounts as well the accounts of your authorized users. Furthermore, you are entirely responsible for any and all activities that occur under your account. We will not be responsible for any damages, losses or liability to you, your authorized users, or anyone else, if such information is not kept confidential by you or your authorized users, or if such information is correctly provided by an unauthorized third party logging into and accessing the Services, either with or without your knowledge. However, you could be held liable for losses incurred by us or another party due to someone else using your account or password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

No Unlawful or Prohibited Use

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any of our servers, or the network(s) connected to any of our servers, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to our server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You may not attempt to copy or change, alter or otherwise attempt to modify the Services or these TOU.

Any linked sites that appear in user content are not under our control, and we are not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. We are not responsible for webcasting or any other form of transmission received from any linked site.
